Travelite360 Terms of Service

Welcome to Travelite360 Inc. (“Travelite360.” "we," "our," or "us"). These Terms of Service ("Terms") govern your usage of our software-as-a-service platform (Saas) as a user. By accessing or using our services, you agree to these Terms and Conditions.

Site Ownership and Agreement to Terms

These Terms apply to the Travelite360 website located at www.travelite360.com, and all associated sites linked to www.travelite360.com by Travelite360, its subsidiaries and affiliates, including Travelite360 sites around the world (collectively, the "Site"). The Site is the property of Travelite360 and its licensors. BY USING THE SITE, YOU AGREE TO THESE TERMS OF SERVICE; IF YOU DO NOT AGREE, PLEASE DO NOT CONTINUE USING THE SITE.

Travelite360 reserves the right to update, amend, change, modify, redact, add and/or remove any portion(s) of these Terms of Service at its sole discretion and at any time. It is your responsibility to periodically check these Terms of Service for amendments and/or updates. Your continued usage of the Site following any announcement of updates to these Terms means that you accept and concede to the updates. So long as you comply with these Terms of Service, Travelite360 grants you a non-exclusive, non-transferable, personal, revocable, limited privilege to access and use the Site.

Using the Site

You are not permitted to make any attempt to obtain unauthorized access to any part or feature of the Site, or any other systems or networks connected to the Site or to any Travelite360 server; or to any service(s) offered on or through the Site, by hacking, social engineering, password phishing or mining, and/or any other illegitimate means whether manual or automated.

You are not permitted to breach the security or authentication measures on the Site or any network connected to the Site, nor scan, probe, and/or test for any vulnerability on the Site and/or any network connected to the Site. You may not reverse lookup, track or attempt to track any information related to any visitor or other user of the Site, and/or any other customer of Travelite360, including any Travelite360 account not owned by you, to its source; nor exploit the Site for any service or information that has been made available on and/or through the Site; in any way where the intention is to reveal any data, including but not limited to personal data and/or identification that is other than your own data, as offered by the Site.

You are not permitted to use any robot or bot, page-scrape, deep-link, man-in-the-middle, spider, or other automated device, program, algorithm or methodology, or other similar or equivalent process(es), whether partially or wholly manual or automated, to track, access, obtain, copy or surveil any portion of the Site or any of the Content contained therein; to extract or attempt to acquire any information, materials, and/or documents by any means not intentionally and explicitly made available on the Site; or in any way reverse-engineer, reproduce and/or circumvent the navigational structure or presentation of the Site or any of its Content. Travelite360 reserves the right to restrict any such activity.

You agree not to use any software, device, methodology, and/or routine that will interfere with or attempt to interfere with the proper working of the Site, and/or any transaction(s) being conducted on or through the Site, and/or with any other individual’s or entity’s usage of the Site.

You agree that you will not perform any deed that forces or results in an unreasonably or disproportionately large data load on the infrastructure of the Site and/or any of Travelite360’s systems or networks, and/or any systems or networks that are connected to the Site or to Travelite360.

You may not falsify headers or otherwise manipulate any identifiers with the intention of disguising or obfuscating the source of any transmission or message you send to or from Travelite360, on or through the Site; and/or disguising or obfuscating the source of any service(s) offered on or through the Site. You may not impersonate any other individual and/or entity; meaning that you may not misinform or pretend that you are, and/or that you represent, someone else or some entity that you do not have the right to represent.

You may not use the Site, or any of the Content contained therein, for any purpose deemed unlawful or prohibited by these Terms of Service, or to solicit the execution of any illegal activity or other activity which infringes the rights of Travelite360 and/or others.

Content

Any and all user interfaces, visual interfaces, text, wordart, graphics, images, photos, logos, trademarks, wordmarks, acoustics, audio content, music, artwork, and computer code (collectively, "Content"), including but not limited to the design, selection, coordination, organization, expression, general aesthetics and arrangement of such Content, contained on the Site is owned, controlled or licensed by or to Travelite360, and is protected by trade dress, copyright, patent and trademark laws, and various other intellectual property rights and unfair competition laws.

Except as expressly provided in these Terms of Service, no portion of the Site and no Content that we make available in connection with the Site (“Travelite360 Content”), including Content that users submit or transmit to or in connection with the Site (“User Content”) and Content made available in connection with the Site that originates from parties other than Travelite360 or its users (“Third Party Content”), may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted or distributed in any way to any other computer, website, server, and/or other medium for publication or distribution of any kind for any commercial purpose(s), without Travelite360’s explicit consent in writing.

You are solely responsible for any Content that you submit or transmit to or in connection with the Site, including without limitation, travel itinerary details, wardrobe preferences, photos, videos,reviews and comments (collectively, “Your Content”), and Travelite360 assumes no responsibility or liability in connection with Your Content. You understand that, once posted to the Site, Your Content may not always be modifiable, withdrawable, retractable, or deletable. You assume all risks associated with Your Content, including anyone’s reliance on its quality, accuracy, or reliability, and any risks associated with personal information you disclose. You represent that you own or have the necessary permissions to use and authorize the use of Your Content as described herein.

You may use Travelite360 Content intentionally made available by Travelite360 for downloading from the Site, provided that you: (1) use such data ONLY for your personal, non-commercial informational purpose and not copy or post such information on any networked device or broadcast it in any media, (2) do not remove any proprietary notice language in any and all copies of such documents, (3) make no modifications to any such information, and (4) do not make any additional representations or warranties relating to such instruments.

Links in the Site may lead to Third Party Content including third-party websites and/or services that are not owned or operated by Travelite360. Travelite360 does not endorse, has no control of, and makes no representation or warranty with respect to such Third Party Content. Likewise, if our Site is linked or referenced in a third party website or social media, we are not liable for any information provided on or through such website or social media. Any use you make of the information provided in the Site, or any Third Party Content linked to by the Site, is at your own risk.

Supplemental or Additional Terms

Supplemental terms and conditions (“Additional Terms”) may apply to purchases of products or services and to specific parts or features of the Site, including bookings, loyalty rewards, promotions and/or other similar features –– all of which terms shall be included in these Terms of Service by this reference.

You agree to abide by such Additional Terms where applicable, including attesting that you are at least of the minimum legal age required to use or purchase such products or services. If there exists any conflict between these Terms of Service and Additional Terms with reference to a specific portion of the Site, or for any product or service offered on or through the Site, the relevant Additional Terms shall apply with respect to your use of that specific portion of the Site and/or service.

Travelite360’s obligations, if any, with regards to its products and services, are governed solely by the respective terms and conditions pursuant to the relevant products and services provided, and nothing on this Site shall be construed to modify such terms and conditions.

Travelite360 may update, add, remove, or make other alterations to any products or services offered on the Site, or to the prices of any such products or services, at any time, without notice. The Content on the Site with respect to products and services may be outdated, whereas Travelite360 makes no commitment to update the Content on the Site with respect to such products and services.

The following conditions also govern and apply to your use of the Site, and they are incorporated herein by this reference:

Each of the above policies may be updated from time to time, and are effective immediately such changes are posted on the Site.

Account Security

There are certain features or services offered on or through the Site that may require you to open an account, including setting up a Travelite360 username and password. By doing so, you are fully responsible for maintaining the confidentiality of the information you keep that is related to your account, including your password, and for any activity that occurs in relation to your account, as a result of your failure to keep this information secure and confidential.

You may not use anyone else’s Travelite360 username, password or account at any time without the express permission and consent of the holder of that Travelite360 username, password or account. Travelite360 cannot and will not be liable for any loss or damage arising from your failure to comply with these obligations.

You agree to notify Travelite360 immediately of any suspicious activity or unauthorized use of your account and/or password, or any other breach of security. You may be held liable for losses incurred by Travelite360 and/or any other user of or visitor to the Site due to a third party gaining access to and/or using your Travelite360 username, password or account, as a result of your failing to keep your account information secure and confidential.

User Responsibilities

By using Travelite360’s website and/or services, you agree to:

Attest that you are at least eighteen (18) years of age or of the minimum legal age required to form a binding contract with Travelite360, with the requisite power and authority to enter into these Terms under the laws of the jurisdiction in which you reside, and to use or purchase such products or services AND you are an authorized user of a valid and legal form of online payment method (e.g. credit card with your full name printed on it).
Provide accurate information regarding your trip details and/or wardrobe customization preferences where necessary for Travelite360 and Travelite360-affiliated companies, vendors, and/or service providers who act on our behalf, to perform services in completion and to your satisfaction, at your direction.
Use our travel advisory and wardrobe curation services in accordance to, and in full compliance with, the terms stipulated in our Privacy Policy, Terms of Service, and any Supplemental terms and conditions (“Additional Terms”) where applicable. Review in full and adhere to any Additional Terms that may apply to purchases of products or services and to specific parts or features of the Site, including bookings, loyalty rewards, promotions and/or other similar features, where applicable.
Make full and timely payments for any services, bookings and/or purchases made using Travelite360 and Travelite360-affiliated companies, vendors, and/or service providers who act on our behalf, our partners, developers, and/or publishers, and/or others.
Fully adhere to cancellation and refund policies set by Travelite360 and Travelite360-affiliated companies, vendors, and/or service providers who act on our behalf, our partners, developers, and/or publishers, and/or others.

Payment and Subscription

Certain products or features on the Site may require a one-time payment and/or recurrent payments for a subscription plan. By using any of Travelite360’s payable service(s) and/or subscription plan(s), you agree to:

Pay in full and on time any and all applicable fees for products or services provided, including without limitation any third party bookings or services, using Travelite360 and Travelite360-affiliated companies, vendors, and/or service providers who act on our behalf, our partners, developers, and/or publishers, and/or others at your direction.
Permit Travelite360 and Travelite360-affiliated companies, vendors, and/or service providers who act on our behalf, to process payments via our/their respective designated payment providers for any and all applicable fees for products or services provided, including without limitation any third party bookings or services, using Travelite360 and Travelite360-affiliated companies, vendors, and/or service providers who act on our behalf, our partners, developers, and/or publishers, and/or others at your direction.
Accept that fees are non-refundable unless otherwise stated, for any products/services provided, and bookings and/or purchases made using Travelite360 and Travelite360-affiliated companies, vendors, and/or service providers who act on our behalf.
Automatically renew subscriptions for any subscription products/services provided using Travelite360 and Travelite360-affiliated companies, vendors, and/or service providers who act on our behalf, unless canceled before the renewal date.

Using Our Services

By using Travelite360’s services, you agree NOT to:

Engage in any illegal activities or for any unlawful purposes using services provided by Travelite360 and Travelite360-affiliated companies, vendors, and/or service providers who act on our behalf
Attempt to interfere with, or disrupt in any way, platform(s) owned and/or operated by Travelite360 and Travelite360-affiliated companies, vendors, and/or service providers who act on our behalf
Reverse engineer, modify, and/or distribute the Site, any products and/or services owned or operated by Travelite360 and Travelite360-affiliated companies, vendors, and/or service providers who act on our behalf, without prior written authorization
Submit false or misleading information to Travelite360 and Travelite360-affiliated companies, vendors, and/or service providers who act on our behalf
Engage in fraudulent bookings or transactions using the Site, any products, and/or services owned and/or operated by Travelite360 and Travelite360-affiliated companies, vendors, and/or service providers who act on our behalf

Violation of these terms may result in immediate account termination without any prior notice, and/or legal action.

Privacy

Travelite360’s Privacy Policy applies to usage of the Site in that its terms become part of these Terms of Service by this statement. To view Travelite360’s Privacy Policy, please click here. By using the Site and our service or product offerings, you may submit information such as, but not limited to: travel itineraries, contact information, wardrobe preferences, including details contained therein such as flight numbers, estimated time of arrival and departure, city(ies) and country(ies) of embarkation and disembarkation, purpose of trip, traveling party legal names and contact information, wardrobe styling and aesthetic preferences, and other related information. All personal data is handled per our Privacy Policy.

Additionally, by using the Site, you acknowledge and agree that Internet transmissions are never completely private or secure. You understand that any message or information you send to the Site may be read or intercepted by others, even if there is a special notice that a particular transmission (e.g. credit card information) is encrypted.

Linked Third Party Sites

This Site may contain links to other independent third-party websites ("Linked Sites"). These Linked Sites are provided solely as a convenience to our visitors. Such Linked Sites are not under Travelite360’s control, and Travelite360 is not responsible for and does not endorse the content of such Linked Sites, including any information or materials contained on such Linked Sites. You are responsible for making your own independent judgment regarding your interaction with these Linked Sites.

Disclaimer of Warranties

TRAVELITE360 DOES NOT PROMISE THAT THE SITE OR ANY CONTENT, SERVICE OR FEATURE OF THE SITE WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT ANY DEFECTS WILL BE CORRECTED, OR THAT YOUR USE OF THE SITE WILL PROVIDE SPECIFIC RESULTS. THE SITE AND ITS CONTENT ARE DELIVERED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. ALL INFORMATION PROVIDED ON THE SITE IS SUBJECT TO CHANGE WITHOUT NOTICE. TRAVELITE360 CANNOT ENSURE THAT ANY FILES OR OTHER DATA YOU DOWNLOAD FROM THE SITE WILL BE FREE OF VIRUSES OR CONTAMINATION OR DESTRUCTIVE FEATURES. TRAVELITE360 DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF ACCURACY, NON-INFRINGEMENT, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. TRAVELITE360 DISCLAIMS ANY AND ALL LIABILITY FOR THE ACTS, OMISSIONS AND CONDUCT OF ANY THIRD PARTIES IN CONNECTION WITH OR RELATED TO YOUR USE OF THE SITE AND/OR ANY TRAVELITE360 SERVICES. TRAVELITE360 IS NOT RESPONSIBLE FOR TRAVEL DISRUPTIONS, BOOKING ERRORS OR OMISSIONS, OR WARDROBE-RELATED DISSATISFACTION OF ANY THIRD PARTIES IN CONNECTION WITH OR RELATED TO YOUR USE OF THE SITE AND/OR ANY TRAVELITE360 SERVICES. TRAVELITE360 IS NOT LIABLE FOR DISPUTES BETWEEN YOU AND ANY THIRD PARTIES IN CONNECTION WITH OR RELATED TO YOUR USE OF THE SITE AND/OR ANY TRAVELITE360 SERVICES. YOU ASSUME TOTAL RESPONSIBILITY FOR YOUR USE OF THE SITE AND ANY LINKED SITES. YOUR SOLE REMEDY AGAINST TRAVELITE360 FOR DISSATISFACTION WITH THE SITE OR ANY CONTENT IS TO STOP USING THE SITE OR ANY SUCH CONTENT. OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW. THIS LIMITATION OF RELIEF IS A PART OF THE BARGAIN BETWEEN THE PARTIES.

The above disclaimer applies to any damages, liability or injuries caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft or destruction of or unauthorized access to, alteration of, or use, whether for breach of contract, tort, negligence or any other cause of action.

Travelite360 reserves the right to do any of the following, at any time, without notice: (1) to modify, suspend or terminate operation of or access to the Site, or any portion of the Site, for any reason; (2) to modify or change the Site, or any portion of the Site, and any applicable policies or terms; and (3) to interrupt the operation of the Site, or any portion of the Site, as necessary to perform routine or non-routine maintenance, error correction, or other changes.

Limitation of Liability

Except where prohibited by law, under no circumstances shall Travelite360 be held liable to you for any indirect, consequential, exemplary, incidental or punitive damages, including lost profits, even if Travelite360 has been advised or otherwise made aware of the possibility of such damages.

Notwithstanding the other provisions of these Terms of Service, if under any circumstance that Travelite360 is found to be liable to you for any damage or loss that arises out of or is in any way connected with your usage of the Site or Content, Travelite360’s liability shall under no circumstances exceed the greater of (1) the total of any subscription or similar fees with respect to any service or feature of or on the Site paid in the six months prior to the date of the initial claim made against Travelite360, but NOT including the purchase price for any Travelite360 services or products owned and/or operated by Travelite360 and Travelite360-affiliated companies, vendors, and/or service providers who act on our behalf, or (2) USD $100.00. In jurisdictions that do not allow limitations of liability, the foregoing limitation may not apply to you.

Indemnity

You agree to indemnify and hold Travelite360, its officers, directors, shareholders, predecessors, successors in interest, employees, agents, subsidiaries and affiliates, harmless from any demands, loss, liability, claims or expenses including attorney and/or arbitration fees, made against Travelite360 by any third party due to, or arising out of, or in connection with your usage of the Site.

Breach of Terms

You acknowledge and agree that Travelite360 may preserve any and all transmissions or communications by you with Travelite360 through the Site and/or any service offered on or through the Site, and may disclose such data if required by law or if Travelite360 determines that such information preservation or disclosure is reasonably necessary to: (1) comply with legal process, (2) protect the rights, property or personal safety of Travelite360, its employees, users of or visitors to the Site, and the public, (3) reply to claims that any such data violates the rights of others, or (4) enforce these Terms of Service.

Travelite360 reserves the right at all times to disclose any information that Travelite360 deems necessary to comply with any applicable law, regulation, legal process or governmental request. Travelite360 also may disclose your information when Travelite360 determines that applicable law requires or permits such disclosure, including exchanging information with other companies and organizations for fraud protection purposes. Travelite360 may disclose any information we have about you, including your identity, if we determine that such disclosure is necessary in relation to any investigation or complaint regarding your usage of the Site, or to identify, contact or bring legal action against someone who may be causing injury to or interference with, whether intentionally or unintentionally, Travelite360’s rights or property, or the rights or property of visitors to or users of the Site, including Travelite360’s customers.

You agree that Travelite360 may, at its sole discretion and without prior notice, terminate your access to the Site and/or block your future access to the Site, if we determine that you have violated these Terms of Service or other agreements or guidelines that may be associated with your usage of the Site. You further agree that any breach of these Terms of Service by you shall constitute an unlawful and unfair business practice, and will cause irreparable harm to Travelite360, for which monetary damages would be inadequate, and you consent to Travelite360 obtaining any injunctive or equitable relief that Travelite360 deems necessary or appropriate in such circumstances. These remedies are in addition to any other remedies Travelite360 may have at law or in equity.

You agree that Travelite360 may, in its sole discretion and without prior notice, terminate your access to the Site, for cause, which includes but is not limited to: (1) requests by law enforcement or other government agencies, (2) a request by you, i.e. self-initiated account deletions, (3) discontinuance or material alteration of the Site or any service offered on or through the Site, or (4) unexpected technical issues or difficulties.

If Travelite360 does take any legal action against you as a result of your violation of these Terms of Service, Travelite360 will be entitled to recover from you, and you agree to pay, all reasonable attorneys’ fees and costs of such action, in addition to any other relief granted to Travelite360. You agree that Travelite360 will not be liable to you or to any third party for termination of your access to the Site as a result of any violation of these Terms of Service.

Governing Law

You agree that any and all matters regarding your usage of or access to the Site, including disputes, shall be governed by the laws of the United States and by the laws of the State of Delaware, without regard to its conflicts of laws provisions. You agree to the personal jurisdiction by and venue in the state and federal courts in New Castle County, Delaware, and waive any objection to such jurisdiction or venue. The preceding provision regarding venue does not apply if you are a consumer based in the European Union. If you are a consumer based in the European Union, you may make a claim in the courts of the country where you reside. Any claim under these Terms of Service must be brought within one (1) year after the cause of action arises, or such claim or cause of action is barred. Claims made under the separate terms and conditions of purchase for goods and services are not subject to this limitation. No recovery may be sought or received for damages other than out-of-pocket expenses, except that the prevailing party will be entitled to costs and attorneys’ fees. In the event of any controversy or dispute between Travelite360 and you arising out of or in connection with your use of the Site, the parties shall attempt, promptly and in good faith, to resolve any such dispute. If we are unable to resolve any such dispute within a reasonable time (i.e. not exceeding thirty (30) days), then either party may submit such controversy or dispute to mediation. If the dispute cannot be resolved through mediation, then the parties shall be free to pursue any right or remedy available to them under applicable law.

Void Where Prohibited

Travelite360 administers and operates the www.travelite360.com Site from its location in Austin, Texas, USA; other Travelite360 sites may be administered and operated from various locations outside the United States. Although the Site is accessible worldwide, not all features, products or services discussed, referenced, provided or offered through or on the Site are available to all persons or in all geographic locations, or appropriate or available for use outside the United States. Travelite360 reserves the right to limit, in its sole discretion, the provision and quantity of any feature, product or service to any person or geographic area. Any offer for any feature, product or service made on the Site is void where prohibited. If you choose to access the Site from outside the United States, you do so on your own initiative and you are solely responsible for complying with applicable local laws.

Miscellaneous

You may not use, extract, export, or re-export any of the Site’s Content; or any copy, assimilation, or version of the Site’s Content; or any product or service offered on the Site, in violation of applicable laws or regulations, including but not limited to U.S. export laws and regulations.

If any of the provisions of these Terms of Service are held by a court or other tribunal of competent jurisdiction to be void or unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary and replaced with a valid provision that best embodies the intent of these Terms of Service, so that these Terms of Service shall remain in full force and effect. These Terms of Service constitute the entire agreement between you and Travelite360 with regard to your use of the Site, and any and all other written or oral agreements or understandings previously existing between you and Travelite360 with respect to such use are hereby superseded and cancelled. Other than as provided in a purchase agreement you enter into with Travelite360, Travelite360 will not accept any counter-offers to these Terms of Service, and all such offers are hereby categorically rejected. Travelite360’s failure to insist on or enforce strict performance of these Terms of Service shall not be construed as a waiver by Travelite360 of any provision or any right it has to enforce these Terms of Service, nor shall any course of conduct between Travelite360 and you or any other party be deemed to modify any provision of these Terms of Service. These Terms of Service shall not be interpreted or construed to confer any rights or remedies on any third parties.

Travelite360 provides access to Travelite360 international data and, therefore, may contain references or cross references to Travelite360 products, programs and services that are not announced in your country. Such reference does not imply that Travelite360 in your country intends to announce such products, programs or services.

Feedback and Suggestions

Any feedback or suggestions that you provide at this Site shall be deemed non-confidential. By submitting any feedback or suggestions to this Site, you agree that Travelite360 is free to use such information on an unrestricted basis.
